Official Rules

 

NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE THE CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. SUBJECT TO ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS AND REGULATIONS.


THESE OFFICIAL RULES (the ‘Official Rules”) GOVERN ALL PARTICIPATION BY THOSE WHO ENTER THIS CONTEST (the “Entrants”).

      

1.  Sponsor:

 

The 2023 Red Kap® Screen Print Design Contest (the “Contest”) is sponsored by Workwear Outfitters, LLC. having its principal offices at 545 Marriott Drive, Suite 200, Nashville, TN 37214. (the “Sponsor”). This Contest is in no way sponsored, endorsed or administered by, or associated with the Specialty Equipment Market Association (“SEMA”), Instagram, Facebook or any other social media or similar platform where this Contest may be advertised. Entrants understand that all information is being provided only to Sponsor and not where this Contest may be advertised. The SEMA® name and logo are used with the permission of SEMA.


2.  Eligibility:

 

The Contest is open only to legal residents of the fifty United States and Washington D.C., who: (i) are of legal age in their state of residence at the time of entry; and (ii) have complied with these Official Rules. This Contest is void where prohibited or restricted by law. All federal, state and local laws and regulations regarding the eligibility of participating apply.


Employees, officers and directors of the Sponsor, and their respective parent companies, affiliates, subsidiaries, shareholders, advertising and promotion agencies, licensees and immediate family members (defined as spouse, sibling, parent, child or grandparent and the spouses of such persons) and persons living in their same households, are not eligible to participate in the Contest. The Sponsor shall not be liable for the reimbursement of any prizes or other amounts payable to hereunder who are in violation of these eligibility requirements or these Official Rules. All Entrants are required to provide full, complete and accurate contact information as requested by the Sponsor.


3. Agreement to Rules:

 

All participation in this Contest shall be governed by these Official Rules. By participating in the Contest, each Entrant fully and unconditionally agrees to be bound to and accepts these Official Rules and any additional terms and conditions specific to the Contest communicated by Sponsor. By participating, Entrants further agree to be bound to the decisions of the Sponsor (and its authorized representatives), which are final and binding in all matters. By entering the Contest, Entrants agree to be contacted by Sponsor with Contest related communications.


4.  Contest Entry Period:

 

The Contest begins at 12:01 a.m. CST on September 20, 2023, and ends at 11:59 p.m. CST on October 1, 2023 (“Entry Period”). Sponsor’s clock/server/computer is the official time keeping device for this Contest. All Entries must be received within the Entry Period. Any attempt to enter the Contest after the Entry Period has ended will not be accepted. Entrants are solely responsible for determining the correct time zone in their respective jurisdictions.

 

5.  How to Enter the Contest:


Entry 


To enter the Contest during the Entry Period, each Entrant must submit a shirt design promoting Red Kap® via electronic mail to redkap@wwof.com in .pdf file format not to exceed 5mb. All Entries must be received by the Sponsor before 11:59 p.m. CST on October 1, 2023. Any Entry that is illegible, inaccurate, incomplete, late, or does not comply with these Official Rules will be disqualified. 


The submitted design shall not violate the intellectual property or right of publicity of any third party. Entries that include other items, such as other branded products or people, that have not been properly permissioned by the Entrant will not be considered. Entries that violate or infringe on another’s rights in any way will not be considered. Entries must NOT appear to condone, promote, contain or describe in any manner illegal, dangerous, harmful, offensive, unsafe, demeaning, or highly sensitive topics, or any other improper or unsuitable content or else will be subject to disqualification. Entries must feature the Sponsor’s Red Kap brand in a truthful, positive and appropriate manner, or else will be subject to disqualification. 


           Limit one (1) Entry per participant. 


There is a limit of one entry per person during the Entry Period. Normal internet access and device usage charges imposed by your mobile plan and/or on-line service may apply to an Entry. Messaging and data rates may apply to internet access via mobile devices.


Representations about your Entry.


By submitting an Entry, Entrants represent and warrant (and agree to release and indemnify Contest Entities from the same) that: they have the absolute right and all requisite consents to submit such Entry (including the likeness, image, voice and any other information disclosed or conveyed therein), and submitting such Entry does not violate or infringe the rights of any third party, will not constitute a violation of law, and will not bring Sponsor or the Contest Entities into public disrepute, scandal or embarrassment; their Entry submitted and all content therein is truthful and accurate, has not been created for any other contest or similar promotion or copied in whole or in part from any other work, and is the sole and exclusive property of the Entrant (or Entrant has the full consent to submit it for all uses contemplated); the Entry does not contain, depict, condone, encourage or promote activities or content prohibited by these Official Rules; the Entry does not depict, refer to or contain in any respect information about an individual under the age of 18; and any individuals mentioned, featured in, or who have worked on the Entry, in whole or in part, in any manner have given Entrant their consent to submission of Entry into this Contest and the use contemplated. If requested by Sponsor, Entrant shall provide evidence of the above in writing.


All work submitted must be original. If an Entrant submits the image of another person, Entrant must obtain the written consent of such party. All Entrants are required to comply with all U.S. and international copyright laws, and all other laws. Entrant shall indemnify, defend and hold Sponsor and the Contest Entities from any claim, loss or damage (including the reimbursement of reasonable attorney’s fees) arising out of any materials submitted for consideration in the Contest. By submitting a work shirt design, the Entrant forever assigns all intellectual property rights in and to such materials to Sponsor and grants Sponsor and the Contest Entities or assigns the exclusive right to use, modify and disseminate your submission in any manner it desires. Entrants will not now nor in the future be paid for their Entry or for granting Sponsor any of these rights.


At the time an Entry is submitted, and whether or not selected as a winner, Entrants understand and agree their Entry and all content therein may be used, shared and displayed in furtherance of all Contest related purposes (including without limitation judging, prize fulfillment, winner verification and public announcements) and may be modified, edited, used in whole or in part, alone or in combination with other works, used in illusory or composite form, or in any other manner, as solely determined by Sponsor in any media and medium whatsoever now known or hereinafter developed (including without limitation Sponsor’s and (unrelated) third parties’ digital, on-line, and off-line social media, marketing and advertising properties, printed materials, and/or any other media/medium through-out the world) without further compensation or review. 


           Judging Criteria.


After the Entry Period has ended, a panel of Sponsor’s Marketing Team will serve as a panel of judges. The top two work shirt designs will be selected based on the following categories: Presentation, Creativity, Value for Consumers and Alignment of the Entry with Sponsor’s brand.

 

Contest Winner Selection.

 

Subject to verification of eligibility and receipt of the applicable documentation required by Sponsor the panel of judges will determine the First Place and Second Place winners.  It is anticipated that the winners will be notified on or about October 1st, 2023. Time periods may be extended or modified due to exigencies of the circumstances.


If a potential winner is found to be ineligible or declines to accept the prize, or Sponsor is unable to contact the potential winner on or within two separate attempts, or in the event that the prize confirmation, notification, or prize is returned, ignored, not timely responded to, misdirected or undeliverable, the prize will be forfeited, and in the Sponsor’s sole discretion, the forfeited prize may be forfeited and may be awarded to an alternate potential winner based on further judging of the remaining entries by the panel of judges. Contest Entities are not responsible for any undelivered telephone calls, messages, e-mails, or any other communications. Prize awards are subject to verification of eligibility and compliance with these Official Rules.


           Prizes.


Each of the winners selected by the panel of judges will receive one of the following prizes:


  • First Place: The winner will receive two (2) 2023 SEMA badges good for admission to the SEMA Show at the Las Vegas Nevada Convention Center on October 31-November 3, 2023, VISA® gift card winner for $2,500, and five (5) work shirts with the winning design.


  •  Second Place: One (1) VISA® gift card in the amount of $500. Gift cards are subject to the terms and conditions of the issuer of the cards, which may include fees or an expiration date.


Claiming the Prize.

 

Prizes will be awarded within thirty (30) days following verification of eligibility and compliance with the terms of these Official Rules. If required by Sponsor and permitted by applicable law, all prize winners must sign and return a release of liability, assignment of copyright and declaration of eligibility to receive the prize. The Sponsor’s decisions regarding the selection of winners and all other aspects of the Contest shall be final and binding in all respects. The Sponsor will not be responsible for typographical, printing or other inadvertent errors in these Official Rules or in other materials relating to the Contest. Sponsor is not responsible for any lost or misdirected prizes once sent, and prizes that are lost, stolen or misdirected will not be replaced.


6. Taxes


The winner is responsible for all federal, state and local taxes, fees and other government assessments on the awarded prize. Furthermore, the winner acknowledges that federal and state law may require that a tax withholding on certain prize values must be collected from the winner upon award or distribution. Federal and state withholding laws are subject to change without notice. The winner of the prize may be issued an Internal Revenue Service Form W-2 or Form 1099 by Sponsor (if required), which the winner will be required to sign at a time and place determined by Sponsor in its sole discretion.


7.  Publicity Release:


The Sponsor and each of their respective affiliates, licensors, licensees, suppliers and advertising/promotion agencies (collectively, the “Contest Entities”) shall, except to the extent prohibited by law, have the right and permission to use each winner’s name, voice, photograph and/or likeness, city/state of residence, and design for advertising, promotion, trade and/or any other lawful purpose in any media or format now or hereafter known without further compensation, permission or notification. By participating in the Contest and/or accepting a prize, Entrants and confirmed winners as applicable grant (and agree to confirm that grant in writing) permission for Sponsor and/or Sponsor’s authorized representatives the right to use their Entry, name, biographical information, likeness, image, voice, and statements for promotion, trade, commercial, and publicity purposes, at any time or times, in all media now known or hereafter discovered including television and the internet including Sponsor’s social media platforms and those of third parties whether or not connected with the Contest, worldwide, including but not limited to on the World Wide Web and Internet, without notice, review or approval and without additional compensation except where prohibited by law.


8.  Privacy:


Information submitted in connection with the Contest will be treated in accordance with these Official Rules and the Sponsor’s Privacy Policy, which may be amended from time to time and are currently located at https://www.redkap.com/privacypolicy.html. By submitting an Entry, Entrants agree to be contacted by Sponsor with Contest related communications and for the future marketing purposes of the Sponsor in accordance with Sponsor’s Privacy Policy.


9.  Indemnification and Release of Liability:


BY PARTICIPATING, ENTRANTS AND WINNERS AGREE TO THE FULLEST EXTENT PERMITTED BY LAW TO RELEASE, DISCHARGE AND HOLD HARMLESS THE SPONSOR, THE CONTEST ENTITIES, AND THEIR PARENT, AFFILIATES AND SUBSIDIARY COMPANIES, ADVERTISING AND PROMOTION AGENCIES, AND THEIR RESPECTIVE OFFICERS, MANAGERS, DIRECTORS, EMPLOYEES, INDEPENDENT CONTRACTORS, REPRESENTATIVES AND AGENTS, AS WELL AS META, FACEBOOK, INSTAGRAM AND SEMA (“RELEASED PARTIES”) FROM AND AGAINST ANY AND ALL ALLEGED AND/OR ACTUAL CLAIMS, CAUSES OF ACTION, DEMANDS, LOSSES, SETTLEMENTS, LIABILITIES AND DAMAGES OF ANY KIND WHATSOEVER EXISTING NOW OR ARISING IN THE FUTURE (INCLUDING, WITHOUT LIMITATION, BODILY INJURY, PERSONAL INJURY, DEATH, DISABILITY AND PROPERTY DAMAGE, VIOLATION OF PROPRIETARY, PUBLICITY, PRIVACY OR ANY OTHER RIGHT), COSTS AND EXPENSES (INCLUDING, WITHOUT LIMITATION, REASONABLE ATTORNEYS’ FEES, COURT COSTS, SETTLEMENT AND DISBURSEMENTS) DIRECTLY OR INDIRECTLY ARISING OUT OF USE OF THE ENTRY IN WHOLE OR IN PART, THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF A PRIZE, PARTICIPATION IN ANY PROMOTION AND/OR PRIZE RELATED ACTIVITY, ACCESS TO THE WEBSITE, AND/OR OTHER PARTICIPATION IN THIS CONTEST. BY ENTERING AND/OR ACCEPTING A PRIZE, ENTRANTS AND WINNERS COVENANT TO THE FULLEST EXTENT PERMITTED BY LAW NOT TO SUE ANY RELEASED PARTY OR CAUSE THEM TO BE SUED REGARDING ANY MATTER RELEASED ABOVE, AND NOT TO DISAFFIRM, LIMIT OR RESCIND THIS RELEASE. A WAIVER BY ONE OR MORE OF THE CONTEST ENTITIES OF ANY TERM IN THESE OFFICIAL RULES DOES NOT CONSTITUTE A WAIVER OF ANY OTHER PROVISION. ANY PROVISION ADJUDGED TO BE INVALID SHALL BE STRUCK FROM THESE OFFICIAL RULES AND THE REMAINDER SHALL CONTINUE IN FULL FORCE AND EFFECT.


10. General:


a)  Prizes are awarded “as is” without any express or implied warranty or guarantee from Sponsor, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement. Only the prizes as described herein are available to be awarded; in no event will the Contest Entities be responsible for awarding more or different prizes than stated herein. Prizes cannot be assigned, transferred, or substituted, except by Sponsor who may, at its sole discretion, substitute a prize or any part thereof with a prize of equal or greater value. Prizes are not redeemable for cash; any difference between the actual value and ARV of the prize will not be awarded as cash, or otherwise unless otherwise stated.

b) ANY ATTEMPT BY AN ENTRANT TO DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.

c)  Sponsor reserves the right, without prior notice and at any time, to terminate the Contest, in whole or in part, or modify or suspend the Contest in any way, if it determines, in its sole discretion, that the Contest is impaired or corrupted or that fraud or technical problems, failures or malfunctions have destroyed or severely undermined the proper play, integrity, and/or feasibility of the Contest.

e)   All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of the Entrant or Sponsor in connection with the Contest shall be governed by and construed in accordance with the laws of the State of Tennessee without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state, provincial or federal laws. Any action arising out of the Contest shall be filed in the United States District Court for the Middle District of Tennessee or in any court of record in Davidson County, Tennessee, and the parties hereby submit to the exclusive jurisdiction and venue of such courts for all purposes in connection with these Official Rules.

f)   Contest Entities shall not be liable to Entrants, winners or any other person or entity for failure to execute the Contest, or supply a prize or any part thereof, by reason of any act of God, any actions, regulations orders or requests by any governmental entity, equipment failure, terrorist act, pandemic, epidemic, cyber-attack, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike, labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, cancellation or delay of any event, or any similar or dissimilar event beyond their reasonable control.

g)  All Entries become the property of Sponsor and will not be acknowledged or returned. Sponsor is not responsible for lost, late, or misdirected email, or telecommunication or hardware or software failures, including by reason of any bug or computer virus or other failure.


11. Winners List: 


The names of the official prize winners will be made available on Red Kap social media within 30 days following the conclusion of the Contest.
